These Terms of Service ("Terms") govern your use of the QualeQuest Governance as a Service platform, APIs, and website at gaas.qualequest.com (collectively, the "Service") operated by QualeQuest, Inc. ("QualeQuest," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms.
1. Service Description
QualeQuest provides a hosted governance API for multi-agent AI systems via the Model Context Protocol (MCP). The Service includes task lifecycle management, agent coordination, decision validation, compliance auditing, ML predictions, knowledge graph persistence, and related tools.
2. Account and Access
- You must provide accurate information when creating an account or submitting an audit request.
- You are responsible for maintaining the confidentiality of your API keys and account credentials.
- You are responsible for all activity under your account.
- You must be at least 18 years old to use the Service.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service, other accounts, or underlying systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, redistribute, or sublicense access to the Service without prior written consent
- Use the Service to process data that violates the rights of third parties
- Exceed your plan's usage limits or circumvent rate limiting
4. Your Data
You retain ownership of all data you submit to or process through the Service ("Your Data"). You grant us a limited license to host, process, and transmit Your Data solely to provide the Service. We will not use Your Data for any other purpose, including training models. Your Data is isolated in your tenant namespace and not accessible to other customers.
5. Service Levels
We will use commercially reasonable efforts to maintain Service availability. The Service is provided as a hosted API — there is no self-hosted or on-premise option. We may perform maintenance with reasonable advance notice when possible. We do not guarantee uninterrupted or error-free operation.
6. Fees and Billing
- Free tier: Governance audit requests and limited API access at no cost.
- Paid tiers: Billed monthly as described on our website or in your service agreement.
- Fees are non-refundable except as required by law or at our discretion.
- We may change fees with 30 days' notice. Continued use after notice constitutes acceptance.
7. Intellectual Property
QualeQuest retains all rights to the Service, including its software, APIs, tools, documentation, and brand. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here. Your Data remains yours.
8. Confidentiality
Each party agrees to protect the other's confidential information with reasonable care. Confidential information includes API keys, account details, business data processed through the Service, and any information marked as confidential. This obligation survives termination of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, QualeQuest's total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that ML predictions or governance recommendations will be accurate.
11. Indemnification
You agree to indemnify and hold harmless QualeQuest from claims arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
12. Termination
- You may stop using the Service at any time.
- We may suspend or terminate your access for violation of these Terms with notice when practical.
- Upon termination, your right to use the Service ceases. We will retain Your Data for 30 days to allow export, then delete it.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes shall be resolved in the courts of North Carolina.
